SPREQ business terms

Version 1.0, valid from 14 August 2026.

These terms apply to the use of SPREQ by entrepreneurs and organisations, including the Work and Business Verified subscriptions. Where these terms differ from the consumer terms, these terms prevail.

This English text is a translation provided for convenience. The Dutch version is the legally binding one.

1. Parties

Provider: Netron ICT, Virulyweg 43 B, 7602 RG Almelo, Chamber of Commerce (KVK) 93536399. Hereinafter: SPREQ.

Customer: the business or organisation that takes out a work profile or a Business Verified profile.

2. Applicability

2.1 These terms apply to all offers, agreements and deliveries between SPREQ and the Customer.

2.2 Any purchasing or other terms of the Customer are expressly rejected.

2.3 The Customer does not act as a consumer. The consumer provisions from the consumer terms, including the right of withdrawal, do not apply.

3. The service

3.1 SPREQ provides a messaging service with end-to-end encryption, whereby the Customer can use one or more business identities alongside a personal profile.

3.2 SPREQ does not store any conversation history on the server. Messages and files are deleted immediately once they have been retrieved, and otherwise permanently deleted after no more than 72 hours.

3.3 SPREQ is not an archiving solution and not a backup service. If the Customer has a legal obligation to retain business communication, for example under tax or financial regulations, the Customer must make its own arrangements for this. SPREQ cannot reconstruct or export any communication.

3.4 SPREQ is not a telephone service. Emergency numbers cannot be reached through SPREQ.

3.5 No service level agreement applies. SPREQ makes every effort to achieve high availability but does not guarantee it. An SLA can be agreed separately.

4. Subscriptions, prices and payment

4.1 Prices are per year and exclusive of VAT for business customers.

4.2 Each Work or Business Verified profile is a separate subscription. Three verified businesses means three subscriptions.

4.3 Purchase is made through the app store or, when taking out multiple profiles, on invoice. Where invoicing applies, a payment term of 14 days applies.

4.4 In the event of late payment, the Customer owes the statutory commercial interest without notice of default and any extrajudicial collection costs are for the Customer's account. SPREQ may suspend the service after a written reminder.

4.5 Subscriptions renew automatically for one year. Cancellation is possible up to one month before the renewal date at the latest.

4.6 SPREQ may adjust prices annually. Increases are announced at least 60 days before the renewal date.

5. Work profile

5.1 The Customer is responsible for the accuracy of the company details in the profile.

5.2 The Customer ensures that the persons using the profile are authorised and comply with these terms and the House rules. The Customer is responsible for their actions.

5.3 The Customer indemnifies SPREQ against claims by third parties arising from the use of the work profile, including claims relating to unsolicited communication, deception or infringement of the rights of third parties.

6. Business Verified

6.1 The Business Verified status is granted after verification in accordance with the Business Verified Regulations. Those regulations form part of these terms.

6.2 On request, the Customer provides a recent Chamber of Commerce (KVK) extract, proof of signing authority and proof of control over the domain, email address or telephone number provided.

6.3 SPREQ re-checks the details annually. The Customer cooperates with this. If the Customer does not cooperate, SPREQ may suspend or withdraw the status.

6.4 The Customer reports within 14 days any change in company name, legal form, KVK number, signing authority, domain or telephone number.

6.5 The badge means only that, at the time of verification, SPREQ checked the details provided. The badge is not a quality mark, not a credit rating and not a statement about the quality or reliability of the Customer.

6.6 SPREQ may withdraw the status with immediate effect in the event of incorrect information, misuse, bankruptcy or dissolution of the Customer, or a justified report by third parties. In that case no refund is given.

7. Processing of personal data

7.1 SPREQ processes users' personal data as an independent controller. This is described in the privacy statement.

7.2 Insofar as SPREQ processes personal data on the Customer's instructions in a specific case, the Data Processing Agreement that is available as an annex to these terms applies.

7.3 The Customer is itself responsible for the lawfulness of the communication it conducts via SPREQ, including compliance with the GDPR and the rules on unsolicited communication.

7.4 SPREQ hosts within the European Economic Area, primarily in the Netherlands, with fallback and failover servers elsewhere in the EU.

8. Availability and maintenance

8.1 SPREQ may carry out maintenance. Planned maintenance with expected impact is announced at least 48 hours in advance.

8.2 SPREQ may interrupt the service without notice in the event of an acute security risk.

9. Liability

9.1 SPREQ is not liable for indirect damage, including consequential damage, lost profit, missed savings, reputational damage and damage due to loss of data.

9.2 SPREQ is not liable for the loss of messages or files, including loss after the 72-hour period, loss of the local history on a device and the inability to reach emergency numbers.

9.3 SPREQ's total liability per event and per year is limited to the amount the Customer paid SPREQ in the preceding 12 months, up to a maximum of € 5,000.

9.4 The limitations do not apply in the event of intent or deliberate recklessness on the part of SPREQ's management.

9.5 Any claim lapses 12 months after the Customer became or should have become aware of the damage.

10. Force majeure

Force majeure includes in any event: outages at hosting and network suppliers, DDoS attacks, power failures, changes in Apple's or Google's policy that affect the service, government measures and legal obligations that make the service impossible.

11. Term and termination

11.1 The agreement runs per subscription year and renews automatically.

11.2 SPREQ may terminate the agreement with immediate effect in the event of a serious breach of these terms or the House rules, in the event of bankruptcy or suspension of payments of the Customer, or if continuation is no longer legally permitted.

11.3 On termination the profile lapses. The name and number of the profile become available again.

12. Miscellaneous

12.1 SPREQ may transfer rights and obligations under the agreement to a group company or upon a takeover. The Customer may only do so with written consent.

12.2 SPREQ may use the Customer's name and logo as a reference, unless the Customer objects to this in writing.

12.3 Changes to these terms are announced at least 30 days in advance.

12.4 Dutch law applies to this agreement. Disputes are submitted to the competent court in the district where SPREQ is established.
